Professional Experience

  • Providing legal service in M&A projects for a number of international companies, including but not limited to conducting legal due diligence, drafting legal opinions and preparing documents for the transactions;
  • Providing legal service for a number of international companiesin different industries in establishment and operation of their subsidiaries in China, including but not limited to setting up companies, obtaining qualifications for the operation of the new companies under Chinese Law, drafting and reviewing commercial contracts and providing legal opinions for the issues raised by the companies;
  • Providing legal service for a number of international and domestic companies in their litigation and arbitration cases, including equity disputes, commercial contract disputes and labor disputes;
  • Providing legal service for two global leading pharmaceutical companies in a series of compliance and labor disputescases;
  • Advising a number of global companies in different industries on various HR/employment matters, including conclusion and amendments of employment contracts, performance review, adjustment of position and compensation, disciplinary actions, and termination of employment;
  • Assisting a number of world famous foreign companies with different backgrounds (e.g. clothing, manufacturing, security, retail, etc.) in their dissolution & liquidation and major redundancy projects, including but not limited to preparing documents, assisting companies in holding town hall meetings, and communicating and liaising with trade unions and local labor administrative departments, providing on-site support for redundancy negotiation with employees, and advising on various issues involved in the redundancy process;
  • Drafting and reviewing HR/employment documents for various global companies, e.g. employment contract, labor service contract, dispatch agreement, secondment agreement, payroll service agreement, confidentiality & non-competition agreement, mutual termination agreement, employee handbook, code of conduct and other HR policies, etc.
